Attoric Partner Program Agreement
Version: ppa-2026-10-01-v3
Effective date: October 1, 2026
This Attoric Partner Program Agreement (the "Agreement") is between Attoric, LLC d/b/a Attoric Games ("Attoric," "we," "us," or "our") and the person or entity that applies to or participates in the Attoric Partner Program ("Partner," "you," or "your"). By checking the acceptance box, submitting an application, or otherwise indicating acceptance of this version, you agree to this Agreement as a binding electronic contract.
There is no separate nondisclosure agreement covering Partner Program participation; confidentiality obligations are set out in this Agreement.
1. Definitions
"Accrual" means Attoric's recording of Partner Commission Credits attributable to a Qualifying Invoice under this Agreement and Attoric's then-current Partner ledger rules.
"Cash Payout" means conversion of eligible Partner Commission Credits into a cash transfer to Partner via Stripe Connect Express (or Attoric's then-current payout rail), when Attoric has enabled cash withdrawal for Partner's account and Partner has satisfied all Cash Eligibility Requirements.
"Commission Base" means the amount of paid hosting fees on a Qualifying Invoice, excluding taxes and after discounts and promotional reductions applied to that invoice.
"Connected Account" means Partner's Stripe Connect Express account (or successor payout account) linked for Partner cash withdrawal.
"Customer" means an end customer who purchases Attoric hosting services attributable to Partner under the Attribution Rules.
"Dial Credit" (also called a signup or referral signup credit) means an Attoric-funded account credit applied toward a Customer's first hosting invoice only, under Attoric's published dial or signup promotion rules. Dial Credits are not Partner income and are not Partner Commission Credits.
"Media Kit" means the Partner brand assets, approved marketing copy, trademarks, and usage rules Attoric publishes in the Partner dashboard (as updated from time to time).
"Partner Commission Credits" (or "Credits") means non-cash Attoric account credits accrued to Partner under this Agreement. Credits are service credits unless and until Attoric converts eligible Credits to Cash Payout under this Agreement.
"Partner Program" means Attoric's referral partner program described in this Agreement and the Partner dashboard.
"Qualifying Invoice" means a Customer's Attoric hosting invoice that has been paid in full (status paid), for paid hosting services only, and that is attributable to Partner under the Attribution Rules. One Accrual line is recorded per Qualifying Invoice.
"Stripe Recipient Terms" means Stripe's Connected Account Agreement, Stripe Recipient Agreement, and related Stripe terms applicable to Connect Express payouts, as published by Stripe at https://stripe.com/legal/connect-account (and any successor URL Stripe designates), as updated by Stripe from time to time.
"TIN" means Partner's taxpayer identification number (for example, SSN or EIN) and related tax identity information Attoric requires for reporting and payout compliance.
"Version Id" means the unique identifier of this Agreement text (for this version: ppa-2026-10-01-v3). The Version Id accepted by Partner is the source of truth for which agreement text binds Partner.
2. Enrollment; Application Is Not Acceptance
2.1 Submitting an application does not enroll you, approve you, or unlock Partner tools, Credits, or Cash Payout.
2.2 You become a Partner only when (a) Attoric approves your application in its sole discretion, and (b) Attoric records your acceptance of a specific Version Id of this Agreement (including this version).
2.3 Attoric may deny, delay, or condition any application without obligation to provide a reason, subject to applicable law.
2.4 Participation is personal to the approved Partner account. You may not transfer enrollment without Attoric's prior written consent.
3. Independent Contractor; No Employment
3.1 Partner is an independent contractor. Nothing in this Agreement creates employment, partnership, joint venture, or agency. Partner has no authority to bind Attoric or to make warranties on Attoric's behalf.
3.2 Partner is solely responsible for Partner's own taxes, withholdings, insurance, and business expenses, except for tax information reporting Attoric performs as required by law (see Section 12).
3.3 The Partner Program does not include a free Attoric server or complimentary hosting for Partner unless Attoric expressly grants one in writing for that Partner.
4. Commission; Attribution; Rates
4.1 Commission Base. Partner Commission Credits accrue only on the Commission Base of Qualifying Invoices: paid hosting fees excluding taxes and after discounts.
4.2 Attribution Rules; lifetime first-touch; one Partner per Customer.
(a) Attoric attributes a Customer to at most one Partner for Partner Commission Credits, using Attoric's lifetime first-touch attribution rules as implemented in Attoric systems.
(b) Once a Customer is attributed to a Partner, that Partner is the sole Partner entitled to Partner Commission Credits for that Customer's Qualifying Invoices for the life of the attribution, unless Attoric terminates attribution for fraud, self-referral, error correction, or other cause under this Agreement.
(c) Attoric does not split, stack, or dual-pay Partner Commission Credits to multiple Partners for the same Customer or the same Qualifying Invoice.
(d) There is no multi-level, downline, residual-on-partner, or "referred person becomes a Partner" commission. Referring someone who later becomes a Partner does not entitle you to any share of that person's Partner Commission Credits or Cash Payouts.
4.3 Ledger accrual. Attoric records at most one Accrual line per Qualifying Invoice. Unlock clocks in Section 6 run from that invoice's paid_at timestamp (or equivalent paid-at field in Attoric systems).
4.4 Rates. Published Partner tier rates are five percent (5%), eight percent (8%), and twelve percent (12%) of Commission Base, or a staff override rate Attoric sets for that Partner. Rates may change prospectively by publishing a new Version Id and/or notice under Section 17. There is no most-favored-nation treatment.
4.5 Dial Credit. Dial Credits are funded by Attoric, apply only to a Customer's first hosting invoice under Attoric's published rules, and are not Partner income, not Partner Commission Credits, and not a Cash Payout to Partner.
4.6 Non-qualifying amounts. Taxes, unpaid invoices, non-hosting products or fees Attoric excludes from Commission Base, refunded amounts, and amounts outside Attribution Rules do not generate Partner Commission Credits.
5. Accrual; Stops; Clawback Window
5.1 Credits accrue only while the referred hosting remains paid and active under Attoric's ledger rules.
5.2 Accrual stops when the referred hosting is canceled, when related invoices remain unpaid more than thirty (30) days, or when amounts are refunded, charged back, or otherwise reversed.
5.3 Attoric may claw back Partner Commission Credits (including Credits already applied to an Attoric account) and related Cash Payouts for sixty (60) days after the related Accrual or payout event, and for longer where required by fraud, legal process, or Stripe or bank reversal, as further set out in Section 11.
6. Credit Unlock and Cash Unlock
6.1 Credit unlock. Partner Commission Credits become available for use as service credits on Partner's Attoric account approximately thirty (30) days after the Qualifying Invoice's paid_at, subject to holds, clawback, good standing, and ledger rules.
6.2 Cash unlock. Credits become eligible for Cash Payout consideration approximately sixty (60) days after the Qualifying Invoice's paid_at, and only if Cash Payout is enabled for Partner's account and all Cash Eligibility Requirements are met.
6.3 Unlock timing is approximate and may be adjusted for fraud review, dispute, Stripe or bank delay, or system maintenance. Attoric does not pay interest on Credits or on amounts pending Cash Payout.
7. Credits Are Not Cash Until Enabled
7.1 Until Attoric enables Partner cash withdrawal for the account and Partner satisfies Cash Eligibility Requirements, Partner Commission Credits are service credits only. Credits do not automatically entitle Partner to Cash Payout.
7.2 Cash Payout is optional per Partner account. Attoric may enable, disable, suspend, or never enable cash withdrawal for any Partner account.
8. Cash Eligibility Requirements
Before any Cash Payout, Partner must satisfy all of the following ("Cash Eligibility Requirements"), as Attoric verifies in its systems:
(a) Attoric has enabled cash withdrawal for Partner's account;
(b) Partner has completed Stripe Connect Express onboarding (or Attoric's then-current payout onboarding) and maintains an eligible Connected Account in good standing with Stripe and Attoric;
(c) Partner has provided a complete and accurate TIN / W-9 (or equivalent tax form Attoric accepts) before the first Cash Payout, and keeps tax identity current;
(d) Partner is in good standing under this Agreement (not suspended; no unresolved material breach);
(e) Accrued Credits have reached any minimum Cash Payout threshold Attoric publishes for the program or that Partner;
(f) Applicable credit unlock and cash unlock periods have elapsed; and
(g) There is no open clawback, dispute, chargeback, fraud hold, legal hold, or Stripe/bank hold affecting the Credits or Connected Account.
Attoric may delay, reduce, or deny Cash Payout while any Cash Eligibility Requirement is unmet or while a hold is in place.
9. Cash Payout Mechanics
9.1 Eligible Credits convert to cash only through Attoric-initiated transfer to Partner's Connected Account via Stripe Connect Express Transfer (or successor rail Attoric designates).
9.2 Attoric may batch, schedule, hold, delay, reverse, or deny transfers for compliance, risk, minimums, errors, or Stripe requirements.
9.3 Partner is responsible for Connected Account accuracy, Stripe verification, and any Stripe fees Stripe charges Partner under Stripe's terms.
9.4 Attoric does not guarantee payout timing beyond commercially reasonable efforts after eligibility.
10. Stripe Terms; Separate Assent
10.1 Cash Payout requires Partner's acceptance of the Stripe Recipient Terms and Stripe's Connected Account requirements. The live terms are at https://stripe.com/legal/connect-account (or Stripe's successor URL).
10.2 Accepting this Agreement is not assent to Stripe's terms. Partner must accept Stripe's terms in Stripe's onboarding flow (or as Stripe requires). If Partner does not accept or maintain Stripe eligibility, Partner remains limited to Credits as service credits only.
10.3 Stripe, not Attoric, provides the Connected Account and payout network. Attoric is not responsible for Stripe outages, Stripe account rejection, or Stripe holds, except to the extent caused by Attoric's failure to initiate a transfer when Partner was fully eligible and Attoric had enabled cash withdrawal.
11. Clawback; Setoff; Reversals
11.1 Attoric may claw back, reverse, or set off Partner Commission Credits and Cash Payouts (including amounts already transferred) when: hosting is canceled; invoices are unpaid beyond applicable thresholds; amounts are refunded, disputed, or charged back; Accrual was erroneous or based on fraud or prohibited conduct; Stripe or a bank reverses a transfer; or Partner breaches this Agreement.
11.2 Clawback and setoff may apply against future Accruals, existing Credits, Partner's Attoric account balance, and future Cash Payouts. Where Attoric has already paid cash, Partner must repay on demand the clawed-back amount if setoff is insufficient.
11.3 The sixty (60) day commercial clawback window in Section 5.3 does not limit Attoric's rights for fraud, illegal conduct, Stripe/bank reversals, or amounts required to be recovered by law.
12. Tax Reporting; TIN; Partner's Own Taxes
12.1 Attoric may collect Partner's TIN and related tax information and may file Form 1099-NEC (or other forms required by law) reporting Partner Commission Credits' fair market value and/or Cash Payouts, as Attoric determines is required and as Attoric tracks for reporting.
12.2 Fair market value of Credits may count toward tax information reporting thresholds as Attoric tracks and as applicable law requires. Attoric does not provide tax advice; reporting thresholds and characterization can change with law and Partner facts.
12.3 Partner is solely responsible for all taxes on amounts reportable or payable to Partner. Attoric does not withhold income taxes from Credits or Cash Payouts except where required by law.
12.4 Partner must keep TIN and tax forms accurate and update Attoric promptly on any change. Failure to provide required tax information may block Cash Payout and may affect account standing.
13. Prohibited Conduct
Partner must not:
(a) self-refer, refer Partner's own servers or accounts, or create circular or sham referrals;
(b) use unapproved discounts, "cheap hosting" claims, spam, misleading ads, trademark bidding that violates the Media Kit, or other brand misuse;
(c) engage in fraud, abuse, incentive stuffing, bot traffic, or manipulation of attribution;
(d) violate applicable law or Stripe's terms in connection with the Partner Program; or
(e) disclose Confidential Information except as permitted in Section 15.
Attoric may deny applications, change Partner tier, suspend Partner, withhold Credits or Cash Payout, claw back amounts, and terminate participation for prohibited conduct or material breach.
14. Brand License; Marketing
14.1 Subject to this Agreement, Attoric grants Partner a limited, revocable, non-exclusive, non-transferable license to use Attoric trademarks and marketing materials solely as published in the Media Kit, and solely to promote Attoric under this Partner Program.
14.2 Partner must use only Media Kit copy and assets. Unapproved creative, false claims, or spam-style promotion is prohibited and may end the partnership.
14.3 Attoric may update the Media Kit at any time. Partner must stop using deprecated assets within a reasonable time after notice in the dashboard or by email.
14.4 All Attoric intellectual property remains Attoric's. No other license is granted.
15. Confidentiality
15.1 "Confidential Information" means non-public Attoric business, technical, customer, pricing, partner, or roadmap information Partner learns through the Partner Program, excluding information that is public through no fault of Partner, independently developed, or rightfully received from a third party without duty of confidentiality.
15.2 Partner will use Confidential Information only to perform under this Agreement and will not disclose it to third parties except to personnel under confidentiality obligations at least as protective, or as required by law (with prior notice to Attoric where legally permitted).
15.3 Obligations in this Section survive for three (3) years after termination, and longer for trade secrets for so long as they remain trade secrets under applicable law.
16. Term; Suspension; Termination; Effect on Balances
16.1 This Agreement starts when Attoric records Partner's acceptance of this Version Id and continues until terminated.
16.2 Either party may terminate for convenience on thirty (30) days' notice. Attoric may suspend or terminate immediately for prohibited conduct, fraud risk, legal requirement, Stripe ineligibility, or material breach.
16.3 On suspension or termination: (a) future Accrual may stop; (b) unlocked Credits may remain usable as service credits subject to clawback and ledger rules, unless Attoric cancels them for cause; (c) Cash Payout eligibility may end; (d) Attoric may withhold pending payouts during investigation; and (e) Sections that by nature should survive (including clawback, tax, IP, confidentiality, liability, indemnity, and governing law) survive.
16.4 Unpaid or locked balances do not create a debt from Attoric to Partner except as earned Credits under this Agreement and Attoric's ledger. Termination does not obligate Attoric to accelerate Cash Payout.
17. Modifications; New Version Id; Re-Acceptance
17.1 Attoric may modify program rules and this Agreement. Material modifications that affect Partner rights or cash eligibility are published under a new Version Id.
17.2 Continued participation and, where Attoric requires it, express re-acceptance of the new Version Id are required to remain eligible for Accrual and/or Cash Payout. Failure to accept a required new Version Id may suspend Accrual, cash eligibility, or both.
17.3 The Version Id Partner last validly accepted is the source of truth for the agreement text that binds Partner for accepts recorded against that Version Id.
18. Electronic Signature; Records
18.1 Partner consents to electronic signature and electronic records for this Agreement and Partner Program notices.
18.2 Attoric may retain, and Partner agrees that Attoric's records of acceptance may include: Partner identity, user identity, Version Id, acceptance timestamp, IP address, user agent, and a hash of the agreement body accepted. Those records are evidence of acceptance.
18.3 Partner will keep account contact information current to receive notices.
19. Governing Law; Venue
19.1 This Agreement is governed by the laws of the State of Iowa, excluding conflict-of-law rules.
19.2 Exclusive venue for disputes arising out of this Agreement lies in the state or federal courts located in Polk County, Iowa, and each party consents to personal jurisdiction there.
19.3 Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or Confidential Information.
20. Disclaimer; Limitation of Liability
20.1 THE PARTNER PROGRAM, CREDITS, DASHBOARD, AND PAYOUT RAILS ARE PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ATTORIC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
20.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTORIC'S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT AND THE PARTNER PROGRAM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PARTNER COMMISSIONS ACCRUED TO PARTNER UNDER THIS AGREEMENT (WHETHER HELD AS ACCOUNT CREDITS OR PAID AS CASH) IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) TWO HUNDRED FIFTY U.S. DOLLARS (US $250). ATTORIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFITS DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
20.3 Nothing in this Agreement limits liability that cannot be limited under applicable law (including certain liability for fraud or willful misconduct).
21. Indemnity
Partner will defend, indemnify, and hold harmless Attoric and its officers, directors, members, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: Partner's marketing or representations; Partner's breach of this Agreement; Partner's violation of law or Stripe terms; Partner's tax obligations; or Partner's fraud or prohibited conduct.
22. Assignment
Partner may not assign this Agreement without Attoric's prior written consent. Attoric may assign this Agreement to an affiliate or successor in connection with a merger, acquisition, corporate reorganization, or sale of assets. Any attempted assignment in violation of this Section is void.
23. Severability; Entire Agreement; Waiver
23.1 If a provision is unenforceable, the remainder stays in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
23.2 This Agreement (including the Media Kit as incorporated for brand use, and the Version Id and body Partner accepted) is the entire agreement on the Partner Program and supersedes prior partner program terms for accepts of this Version Id. It does not supersede Attoric's general Terms of Service for Partner's own Attoric customer account, which remain separate.
23.3 Failure to enforce a provision is not a waiver. Waivers must be in writing to be effective.
24. Notices
Attoric may provide notices via the Partner dashboard, email to Partner's account email, or other reasonable electronic means. Partner notices to Attoric must be sent to the partner or legal contact address Attoric publishes in the Partner dashboard or on attoric.com, unless Attoric designates another address.
25. Survival
Sections 5, 11, 12, 14 (ownership), 15, 16.3, 18–23, and any accrued payment or clawback obligations survive termination or expiration of this Agreement.
